Welcome to WProof. By accessing or using the WProof platform, website, mobile application, and related services (“Services”), you agree to these Terms of Service.

1. Acceptance of Terms

By creating an account, accessing, or using WProof, you agree to comply with and be legally bound by these Terms.

If you do not agree with these Terms, you must not use the Services.

2. Description of Service

WProof provides workforce management and job site accountability tools, including but not limited to:

  • Employee time tracking
  • GPS-based attendance verification
  • Clock In / Clock Out functionality
  • Geofence monitoring
  • Job site management
  • Photo documentation
  • Employee scheduling
  • Workforce reporting and analytics
  • Invoices and job records
  • Material and expense tracking
  • Business performance reporting

WProof is a software platform only and does not act as an employer, payroll provider, accountant, tax advisor, attorney, staffing agency, or employment agency.

3. User Accounts

Users are responsible for:

  • Maintaining account security
  • Protecting login credentials
  • Providing accurate information
  • All activities conducted under their account

WProof may suspend or terminate accounts that violate these Terms.

4. Minimum Age Requirement

Users must be at least 18 years old, or the minimum legal age required in their jurisdiction, to create an account and use the Services.

By using WProof, users represent and warrant that they meet these requirements.

5. Location Services and GPS Tracking

Certain features require access to location services.

By enabling these features, users consent to the collection and processing of location information for legitimate business purposes.

Location information may be used for:

  • Attendance verification
  • Time tracking
  • Job site verification
  • Geofence monitoring
  • Workforce accountability
  • Reporting purposes

Employers are solely responsible for informing employees of location tracking practices and obtaining all required permissions and consents under applicable laws.

WProof is designed to collect location information only in connection with authorized work-related activities and use of the Services.

6. Camera, Photos, and Documentation

Certain features may require access to device cameras, photo libraries, and file storage.

Users acknowledge that photographs, documents, receipts, invoices, and other files uploaded to the Services may be stored and processed for the purpose of providing the Services.

Users are solely responsible for ensuring they have the legal right to upload and share such content.

7. Employee Consent and Employer Responsibility

Employers are solely responsible for obtaining all necessary notices, permissions, acknowledgments, and consents from employees regarding the collection, processing, storage, and use of:

  • Time records
  • Location data
  • GPS information
  • Photographs
  • Attendance records
  • Job site documentation

WProof is not responsible for employer compliance with employment laws, labor laws, privacy laws, or workplace regulations.

8. Payroll Disclaimer

IMPORTANT:

WProof provides workforce tracking and reporting tools only.

WProof does not guarantee the accuracy of:

  • Payroll calculations
  • Wage calculations
  • Overtime calculations
  • Break calculations
  • Tax calculations
  • Employee compensation calculations

Employers are solely responsible for reviewing:

  • Hours worked
  • Overtime hours
  • Employee time records
  • Break compliance
  • Payroll processing
  • Employee payments

All payroll calculations should be independently reviewed by management before processing employee payments.

WProof shall not be liable for payroll errors, underpayments, overpayments, tax issues, labor disputes, employee claims, or compliance violations.

9. User Responsibilities

Users agree not to:

  • Use the Services for unlawful purposes
  • Violate employment laws
  • Engage in harassment or discrimination
  • Upload false information
  • Upload malicious software
  • Attempt unauthorized access
  • Reverse engineer the software
  • Interfere with platform operations
  • Unlawfully monitor individuals
  • Violate privacy rights

10. User Content and Uploaded Materials

Users retain ownership of content uploaded to the Services.

By uploading content, users grant WProof a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display such content solely for the purpose of providing, maintaining, and improving the Services.

Users represent and warrant that they have all necessary rights to upload such content.

11. Data Accuracy

WProof provides tools for recording and displaying information submitted by users.

WProof does not guarantee:

  • GPS accuracy
  • Device accuracy
  • Photo accuracy
  • Internet availability
  • Employee honesty
  • Data entry accuracy
  • Report accuracy

Users are responsible for independently verifying all records and information.

12. Third-Party Services

The Services may integrate with third-party providers including:

  • Cloud storage providers
  • Payment processors
  • Mapping services
  • GPS providers
  • Analytics providers
  • Communication providers
  • Notification providers

WProof is not responsible for the availability, performance, reliability, accuracy, or security of third-party services.

13. Subscription and Payments

Paid subscriptions are billed according to the selected plan.

Subscription fees are non-refundable except where required by law.

Failure to pay subscription fees may result in suspension or termination of Services.

WProof reserves the right to modify pricing with reasonable notice.

14. Trial Services

WProof may offer free trials, promotional access, or evaluation periods at its sole discretion.

WProof reserves the right to modify, suspend, limit, or terminate trial access at any time.

15. Intellectual Property

All rights, title, and interest in WProof, including software, trademarks, branding, logos, designs, content, and features, remain the exclusive property of WProof.

Users may not copy, reproduce, distribute, modify, sell, or exploit any portion of the Services without written permission.

16. Service Availability

WProof does not guarantee uninterrupted or error-free service.

Maintenance, updates, internet outages, software issues, cybersecurity incidents, third-party outages, and other events may temporarily affect availability.

17. Force Majeure

WProof shall not be liable for delays, interruptions, failures, or inability to provide Services resulting from circumstances beyond its reasonable control, including:

  • Natural disasters
  • Government actions
  • Internet outages
  • Power failures
  • Labor disputes
  • Cybersecurity incidents
  • Third-party service failures
  • Telecommunications interruptions

18. Customer Backup Responsibility

Customers are solely responsible for maintaining copies of important business records, reports, payroll information, invoices, employee records, photographs, and job documentation.

WProof is not responsible for data loss resulting from user actions, hardware failures, software failures, internet interruptions, or third-party outages.

19. Electronic Signatures and Records

Users acknowledge and agree that electronic signatures, attendance records, timestamps, GPS records, photographs, approvals, and related electronic records generated through the Services may be used for business and administrative purposes.

Users are responsible for ensuring compliance with applicable laws regarding electronic records.

20. Account Security

Users are responsible for maintaining the confidentiality of login credentials.

Users must immediately notify WProof of any unauthorized access, suspected breach, or compromise of their account.

WProof shall not be liable for losses resulting from unauthorized access caused by user negligence.

21. Compliance With Laws

Users agree to comply with all applicable federal, state, local, and international laws relating to:

  • Employment practices
  • Employee monitoring
  • Privacy rights
  • Payroll processing
  • Tax obligations
  • Workplace safety
  • Recordkeeping requirements

WProof is not responsible for determining whether a user’s activities comply with applicable laws.

22. No Employment Relationship

WProof is a software provider only.

Nothing in the Services creates an employment relationship, partnership, agency relationship, joint venture, contractor relationship, or fiduciary relationship between WProof and any user.

23. Electronic Communications

By using the Services, users consent to receive electronic communications from WProof, including:

  • Service notifications
  • Security alerts
  • Billing notices
  • Product updates
  • Administrative communications

24. No Warranty

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WPROOF DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

WPROOF DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPLETELY ACCURATE.

25. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WPROOF SHALL NOT BE LIABLE FOR:

  • Lost profits
  • Lost revenue
  • Lost business opportunities
  • Payroll disputes
  • Employment disputes
  • GPS inaccuracies
  • Data entry errors
  • Lost data
  • Indirect damages
  • Incidental damages
  • Consequential damages

THE TOTAL LIABILITY OF WPROOF SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CUSTOMER TO WPROOF DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

26. Indemnification

Users agree to defend, indemnify, and hold harmless WProof, its owners, officers, employees, contractors, affiliates, and agents from any claims, liabilities, damages, losses, costs, and expenses arising from:

  • Use of the Services
  • Violation of these Terms
  • Employment disputes
  • Payroll disputes
  • Labor law violations
  • Privacy claims
  • User-generated content

27. Class Action Waiver

To the fullest extent permitted by law, users agree that any claim or dispute shall be brought solely on an individual basis and not as part of any class action, collective action, representative action, or similar proceeding.

28. Data Retention After Termination

Upon termination or cancellation of an account, WProof may retain certain information for:

  • Legal compliance
  • Security investigations
  • Fraud prevention
  • Dispute resolution
  • System backups
  • Regulatory requirements

29. California and Privacy Rights

Where applicable, users may have rights under privacy laws, including the California Consumer Privacy Act (CCPA) and other applicable privacy regulations.

30. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

31. Entire Agreement

These Terms of Service, together with the Privacy Policy, Data Deletion Policy, and any other policies referenced herein, constitute the entire agreement between the user and WProof regarding the Services.

32. Governing Law

These Terms shall be governed by and interpreted under the laws of the Commonwealth of Massachusetts, United States, without regard to conflict of law principles.

33. Termination

WProof may suspend or terminate access to the Services at any time if users violate these Terms.

Users may cancel subscriptions at any time.

Termination does not eliminate outstanding payment obligations.

34. Changes to These Terms

WProof may update these Terms periodically.

Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
